6. Real Estate Transactions and Limitations
Our role is to assist with real estate transactions, but we do not guarantee specific outcomes. All property purchases, sales, and investments facilitated by us are subject to separate purchase or brokerage agreements. We do not guarantee that a seller will accept an offer, that a buyer will obtain financing, or that a transaction will close. We do not hold escrow funds (unless otherwise agreed in a formal agreement) or act as a guarantor. We make no warranty regarding the condition of any property; sellers are obligated by New York law to provide a Property Condition Disclosure Statement for residential properties sold under contract. We disclaim responsibility for defects or issues not disclosed by a seller. All services are provided "as is," and we expressly disclaim any implied warranties of merchantability or fitness for a particular purpose.
7. Short Sale Terms and Disclosures
In a short sale transaction, a lender agrees to accept less than the full amount owed on a mortgage. Short sales require full disclosure of financial and property information to the lender, and ultimately require lender approval. We cannot guarantee that a lender will approve a short sale or waive any deficiency. If a short sale is not approved, the lender may proceed with foreclosure and seek a deficiency judgment (subject to New York's deficiency judgment limitation under RPAPL § 1371, which caps any such judgment at the difference between the debt and the property's fair market value). By participating in a short sale, you acknowledge these risks and agree to cooperate fully (e.g., providing requested documents). We do not provide legal or tax advice; you should consult a qualified attorney or tax advisor before entering a short sale.
8. Foreclosure Defense Disclaimers and Limitations
If you are facing foreclosure, we may offer negotiation and mitigation assistance to help you explore options. However, foreclosure is a court action, and we are not attorneys. As the New York Department of Financial Services notes, "a foreclosure is a lawsuit, and homeowners should seek assistance from an attorney or housing counselor". We cannot guarantee that foreclosure will be avoided or that lenders will agree to specific terms. We provide general information based on our experience, but it is not legal advice. You remain responsible for meeting all legal deadlines (for example, responding to court papers). You should review the New York Residential Foreclosure Actions Consumer Bill of Rights and consider consulting an attorney or HUD-approved housing counselor to understand your rights and options.
9. Relocation Assistance Terms
We may provide guidance or referrals for relocation services (such as finding movers, settling into a new community, or identifying housing options). These services are advisory only. Unless explicitly stated, New Space Realty Inc. does not perform the physical relocation services. We may recommend third-party relocation service providers, but we are not responsible for their performance or costs. Any quotes or schedules provided by relocation partners are estimates only. You agree that any relocation arrangements you enter into are between you and the third party, and we are not liable for any acts or omissions of those providers.
10. Real Estate Investing Disclosures
If you participate in real estate investment opportunities through New Space Realty Inc., you acknowledge that investments are speculative. There is no assurance of profit; your investment value may increase or decrease. Historical or projected returns are not guarantees of future performance. We are not registered securities advisors or brokers, and nothing on our site or communications constitutes an offer to sell or a solicitation to buy securities. For example, sellers of residential property must provide the Property Condition Disclosure Statement mandated by N.Y. Real Prop. Law §462, and we will facilitate compliance with these disclosure obligations. We also adhere to New York's telemarketing and Do-Not-Call regulations, which now include text messages. You agree to abide by all applicable laws when engaging our services.
13. Limitation of Liability
To the fullest extent permitted by law, New Space Realty Inc. and its officers, agents, employees, and affiliates will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or related to these Terms or your use of our services and website. This includes, without limitation, loss of profits, revenue, data, or business opportunities. We do not guarantee the accuracy, completeness, or reliability of any content on the site. You agree that any use of our website and services is at your own risk. Our total liability for any claim arising out of these Terms or our services will not exceed the fees (if any) you paid us for the services in question, or five dollars ($5), whichever is greater. 14. Indemnification

15. Governing Law and Dispute Resolution
These Terms and any disputes arising out of or related to these Terms or our services will be governed by the laws of the State of New York, without regard to conflict-of-law principles. You agree that any legal action or proceeding related to these Terms must be brought exclusively in the state or federal courts located in New York County, New York. Both parties consent to personal jurisdiction and venue in those courts. You also agree to resolve any dispute arising under these Terms promptly by negotiation between senior executives of the parties. If a dispute cannot be resolved within 30 days of written notice, either party may pursue legal remedies. We may, at our option, require that disputes be submitted to binding arbitration under the rules of the American Arbitration Association, to be held in New York County, New York. In any dispute, both parties waive trial by jury to the fullest extent permitted by law. Class actions or representative claims are not permitted; by agreeing to these Terms, you waive any right to bring a class action or class arbitration against us.
16. Changes to Terms
We reserve the right to modify or update these Terms at any time. When we do, we will revise the "Last updated" date at the top and post the new Terms on this page. If the changes are material, we may notify you (for example, via email or a notice on our website). Your continued use of the website or services after the posting of changes constitutes acceptance of the modified Terms. We encourage you to review these Terms periodically.
